How to set up a SASU?


Would you like to set up a Société par Actions Simplifiées Unipersonnelle (SASU) but aren't sure what steps to take? Anytime will explain everything and help you set up your business 💥

 

1. Drafting bylaws 📝

The first step is to draw up the articles of association for your future one-man SAS.

It must include mandatory information such as :

  • Corporate purpose
  • Head office
  • Share capital
  • Company name
  • Legal form
  • Company lifetime
  • The identity of the person signing the articles of association
  • Contributions in kind and their valuation
  • The number of shares
  • The form of shares
  • Form and conditions governing decisions taken by the sole shareholder
  • etc.

     

2. Write the list of subscribers 👥

To create an SAS, you need to list all the subscribers. In this case, even if there is only one, you must list him or her, along with the amount of the contribution and the shares allocated to him or her.

 

3. Capital deposit 💰

By law, there is no minimum capital requirement, but this amount should not be neglected, as it will demonstrate the credibility and health of your company, and make it easier to obtain loans from banks.

You can contribute to this share capital via :

  • cash contributions (cash inflow, debt conversion) 💸
  • contributions in kind (real estate, patents, machinery, etc.) 🤖
  • contributions in kind (know-how) 🧠

These contributions must be deposited in a dedicated business account (which will be blocked until the Kbis is obtained), and it is on the basis of these that the voting rights and weight of each shareholder will be defined.

 

4. Publication in a legal gazette 🗞

You must publish an announcement in a legal gazette to notify the public of the creation of your SASU.

There are around ten in France, and you need to choose a JAL authorized in the department where your company's head office is located. For a SAS, the cost of publication is €141 (€169 for Réunion and Mayotte).

Upon publication, the newspaper will issue you with a certificate of publication (needed to prove publication and for other purposes).

 

5. Domiciliation of your SASU 🏠

Choosing an address for your company's headquarters is a compulsory step. You have several options: your personal home, your own premises, a P.O. box or a domiciliation company.

6. Registration with the Centre de Formalités des Entreprises 🏢

You must submit your complete SASU creation file to the Centre de Formalités des Entreprises. This costs between €30 and €80.

It must contain :

  • A copy of the by-laws, dated and signed
  • A copy of the title of occupancy of the premises (domiciliation contract, commercial lease, title deed...)
  • A copy of the request to publish the SASU in a legal gazette
  • A completed and signed M0 form (available at www.cfe.urssaf.fr)
  • Certificate of deposit of funds

     

What happens next? 🤔

When your application is complete and validated, you will receive your Kbis extract (your company's "identity card") a few days later.
